Free Trials

5. Use of Services

License Grant

  • You fail to pay applicable fees
  • Your use of the Services poses a security risk or could adversely affect our systems or other users
  • We are required to do so by law
  • We decide to discontinue the Services or materially modify them

Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. We may delete your account and User Content, though we may retain certain information as required by law or for legitimate business purposes. Sections of these Terms that by their nature should survive termination will survive, including provisions regarding intellectual property, disclaimers, indemnification, and limitations of liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

PLAIN SIGNAL DOES NOT WARRANT THAT:

  • The Services will be uninterrupted, secure, or error-free
  • The Services will meet your requirements or expectations
  • Any errors or defects will be corrected
  • The Services are free of viruses or other harmful components
  • The results obtained from using the Services will be accurate or reliable

YOU ASSUME ALL RISK FOR ANY DAMAGE THAT MAY RESULT FROM YOUR USE OF THE SERVICES. YOU UNDERSTAND AND AGREE THAT YOU USE THE SERVICES AT YOUR OWN DISCRETION AND RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PLAIN SIGNAL, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Plain Signal, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party, including intellectual property rights
  • Your User Content
  • Any misrepresentation made by you

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

15. Dispute Resolution

Governing Law

Arbitration Agreement

Class Action Waiver

YOU AND PLAIN SIGNAL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Plain Signal agree, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

Exceptions to Arbitration

Either party may bring a lawsuit in court solely for injunctive relief to stop unauthorized use or abuse of the Services or infringement of intellectual property rights without first engaging in arbitration.

Time Limitation on Claims

Any claim or cause of action arising out of or related to your use of the Services must be filed within one (1) year after the claim or cause of action arose, or it will be forever barred.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Plain Signal regarding the Services and supersede all prior agreements and understandings.

Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Export Control

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce. You represent that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods.

U.S. Government Rights

If you are a U.S. government entity, the Services are "commercial computer software" and "commercial computer software documentation" as defined in FAR 12.212 and subject to restricted rights as defined in FAR 52.227-19.

Language

These Terms are provided in English. In the event of any conflict between the English version and any translation, the English version shall prevail.

Notices

We may provide notices to you via email to the address associated with your account, by posting on our website, or through the Services. You consent to receive communications from us electronically, and you agree that such electronic communications satisfy any legal requirement that communications be in writing.
